Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your use of the Avril Capital Co. Ltd. ("AvCap", "we", "our") website at avcap.co.tz and any product operated by AvCap, including Sentinel (sentinel.avcap.co.tz), the Tanzanite Crypto Index Fund (TCIF, tcif.finance), Anzisha (anzisha.xyz), and any additional product AvCap launches in the future (each, a "Service"). By using the website, by submitting any form, by signing a Statement of Work, or by interacting with any Service, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and have legal capacity to enter into a binding agreement under Tanzanian law to use the Services. If you are using a Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

3. Account information

You agree to provide accurate information when you contact us, submit any intake form, or open an account on any Service. You are responsible for the security of any credentials issued to you, and for activity that takes place under those credentials. Notify us promptly at info@avcap.co.tz if you suspect unauthorized use.

4. Service-specific terms

Where a specific Service has additional terms documented in a Statement of Work, Token Sale Agreement, Rules of Engagement, or product subscription, those additional terms supplement these Terms. In the event of conflict between these Terms and a signed product-specific agreement, the signed agreement controls for that engagement only.

Consulting and advisory services

ICT consulting, cybersecurity consulting, blockchain advisory, capital advisory, digital-platform development, and procurement advisory engagements are governed by a Statement of Work signed by both parties. The Statement of Work defines scope, deliverables, fees, timeline, and any service-level commitments.

5. Sentinel

The Sentinel Free Summary intake form collects a website URL and a contact email so that we can prepare a top-line public-facing audit summary at no cost. Submission constitutes a request that we audit only the publicly accessible surfaces of the URL provided. Submission does not authorize active testing, authenticated probing, or penetration testing; that work requires a separately signed Rules of Engagement.

Free and Comprehensive audits cover only public-facing digital surfaces. Findings reflect observations made at the time of the scan and may be affected by factors outside our control, including DNS propagation, CDN cache state, and server-side feature flags. Sentinel makes no warranty that any audit will identify every exposure, vulnerability, or compliance gap. The audit is a snapshot, not a guarantee of completeness.

Comprehensive Reports, Implementation engagements, Perimeter audits, and Sentinel Executive subscriptions are governed by a separate Statement of Work or service agreement. Pricing published on the site is current at the time of publication and may be revised; the price applicable to a paying engagement is the price quoted in the signed Statement of Work.

6. TCIF and digital-asset risk disclosure

Risk warning. Digital assets, including the TCIF Token, are highly volatile, may decline in value, and may become illiquid. You may lose some or all of the value of your participation. The regulatory treatment of digital assets in Tanzania and elsewhere is evolving and uncertain. Nothing on this website or in any AvCap communication constitutes an offer to sell, a solicitation to buy, or investment advice with respect to any security, token, or digital asset.

TCIF operates through smart contracts deployed on the BNB Chain. By interacting with TCIF smart contracts you acknowledge that on-chain transactions are public, irreversible, and outside AvCap's exclusive control. Participation in the TCIF token sale, if and when offered, is governed by a separate Token Sale Agreement that sets out subscription terms, KYC/AML requirements, jurisdictional restrictions, lock-up provisions, and any applicable exemptions from securities-law registration.

Smart contracts have been audited by reputable third parties but no audit eliminates all risk. Bugs, exploits, governance failures, or oracle malfunctions may result in loss. Participate only with funds you can afford to lose entirely.

7. Anzisha

Anzisha is a software platform that uses AI to analyze business-plan inputs and produce feasibility scoring, regulatory guidance, financial projections, and compliance checklists. Anzisha outputs are advisory only and do not constitute professional financial, legal, tax, accounting, or investment advice. You should not rely on Anzisha outputs as a substitute for advice from a qualified professional licensed in your jurisdiction.

AI-generated content may contain errors or omissions. Regulatory and tax information surfaced by Anzisha is based on publicly available information at the time of generation and may not reflect the most current state of the law. You are responsible for verifying any output you intend to act on.

8. Intellectual property

The AvCap name and logo, the Sentinel name and logo, the TCIF name and logo, the Anzisha name and logo, our audit methodology, our published reports, our software, our source code, and the content of this website are the intellectual property of AvCap or our licensors. You may not copy, modify, distribute, or create derivative works of any of the foregoing without our prior written consent, except as expressly permitted in a signed agreement. Clients who commission audit reports receive a license to use those reports internally and to share them with parties bound by appropriate confidentiality obligations; public republication requires our written consent.

9. Disclaimer of warranties; limitation of liability

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by Tanzanian law, AvCap disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and the accuracy or completeness of any output.

To the maximum extent permitted by Tanzanian law, AvCap's total aggregate liability arising out of or in connection with the Services, any Service-specific agreement, or these Terms is limited to the fees actually paid by you to AvCap for the specific Service giving rise to the claim, in the twelve months preceding the event that gave rise to the claim. AvCap is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or loss of business opportunity, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold AvCap, its officers, directors, employees, and contractors harmless from any third-party claim, loss, liability, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your misuse of any Service, (c) your violation of applicable law in connection with your use of any Service, or (d) your infringement of any third-party right.

11. Acceptable use

You may not use any Service to:

  • Submit Sentinel audit URLs you do not own or have explicit authorization to test.
  • Attempt to gain unauthorized access to any AvCap system, account, or data.
  • Interfere with the operation of the Services, including by automated abuse of intake forms or rate-limit evasion.
  • Use the Services in violation of applicable law, including export controls, sanctions, AML obligations, or securities regulation.
  • Use Anzisha or any AvCap product to generate content that is unlawful, deceptive, or designed to defraud.
  • Reverse engineer, decompile, or otherwise attempt to derive source code from any AvCap proprietary system except to the extent permitted by mandatory law.

We reserve the right to suspend or terminate access to any Service at our discretion for breach of these Terms or for conduct that, in our reasonable judgment, exposes AvCap or its other users to material risk.

12. Confidentiality

Confidential information exchanged between you and AvCap in the course of any engagement, including the contents of audit reports, scoping documents, and pricing, is governed by the confidentiality provisions of the applicable Statement of Work or by a separately signed non-disclosure agreement. AvCap by default does not publicly identify clients on this website, in marketing materials, or in case studies without explicit prior written consent.

13. Governing law and dispute resolution

These Terms are governed by the laws of the United Republic of Tanzania, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms, the Services, or any Service-specific agreement is subject to the exclusive jurisdiction of the courts of Tanzania sitting in Dar es Salaam, except where a signed Service-specific agreement provides for arbitration, in which case the arbitration clause of that agreement controls.

14. Modifications

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Material changes will be communicated via the contact channels we have on file for active clients, and the prior version will be archived and available on request. Continued use of any Service after the effective date of an update constitutes acceptance of the updated Terms.

15. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with any Service-specific agreement you have signed with us, constitute the entire agreement between you and AvCap with respect to the Services.

You may not assign these Terms or any rights or obligations under them without our prior written consent. AvCap may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets, upon notice to you.
